Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On December 21, 2017, Pershing Gold Corporation (the “Company”) and Eric Alexander, the Company’s Vice President Finance and Controller and principal financial officer, entered into a Fourth Amended Severance Compensation Agreement dated December 21, 2017 (the “Fourth Amended Agreement”). The Fourth Amended Agreement replaces the Third Amended Severance Compensation Agreement between the Company and Mr. Alexander dated January 11, 2017 (the “Third Amended Agreement”), a copy of which was filed as Exhibit 10.1 to the Current Report on Form 8-K filed on January 18, 2017.

 

The Fourth Amended Agreement extends the term of the Third Amended Agreement to December 31, 2018. In all other material respects, the Fourth Amended Agreement is similar to the Third Amended Agreement.

 

This summary of the Fourth Amended Agreement is not complete and is qualified in its entirety by reference to the full text of the agreement that is attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
