Item 8.01 Other Events.

On December 21, 2017, the board of directors of Sotherly Hotels Inc., a Maryland corporation (the “Company”), authorized the extension of the Company’s stock repurchase program on the same terms through December 31, 2018.  The stock repurchase program, which was originally announced in December 2016, authorized the Company to purchase up to $10.0 million of its outstanding common stock, par value $0.01 per share, at prevailing prices on the open market or in privately negotiated transactions, at the discretion of management and, prior to the extension, was scheduled to expire on December 31, 2017.  As of December 21, 2017, the Company had repurchased an aggregate amount of approximately $5.5 million, inclusive of commission, of the Company’s common stock pursuant to the stock repurchase program, leaving a balance of approximately $4.5 million of its common stock that may be repurchased.  As of September 30, 2017, the Company had approximately 13.8 million shares outstanding.
