Item 8.01 Other Events
FirstEnergy Corp. (the “Company”) is filing this Current Report on Form 8-K for the purpose of updating the description of its capital stock to primarily reflect the increase in authorized shares of common stock from 490 million to 700 million. The Description of Capital Stock is attached as Exhibit 99.1 and is incorporated herein by reference. The Company intends to incorporate by reference the attached Description of Capital Stock into registration statements filed by the Company.
The attached description highlights important terms of the capital stock as of the date hereof. This description is not a complete description of the terms of the capital stock and is qualified by reference to FirstEnergy’s Amended Articles of Incorporation and Amended Code of Regulations, each as amended and as previously filed with the Securities Exchange Commission, as well as the applicable provisions of Ohio law.
