Item 1.01                                           Entry into a Material Definitive Agreement.

 

Effective as of December 14, 2017, Telaria, Inc., or the Company, entered into a lease, or the Lease, for its principal executive offices at 222 Broadway, New York, New York 10038.  The Lease between the Company and Advance Magazine Publishers Inc. is for approximately 26,664 square feet. The term of the Lease is estimated to commence on January 3, 2018 and will expire on July 29, 2029.

 

The foregoing description of the material terms of the Lease is a summary, is not complete, and is qualified in its entirety by the terms and conditions of the actual Lease, which will be filed as an exhibit to the Company’s annual report on Form 10-K for the year ending December 31, 2017.
