Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 8, 2017, Kalpana Raina, a member of the Board of Directors (the "Board") of John Wiley & Sons, Inc. (the "Company") and a member of the Audit Committee, notified the Board of her intention to resign from the Board, effective December 22, 2017, due to other commitments. Ms. Raina has served on the Board since 2009.  Ms. Raina's decision to resign as a director was not due to any disagreements with the Company on any matter relating to the Company's operations, policies or practices.
