Item 7.01 Regulation FD Disclosure.

 

On December 13, 2017, EP Energy LLC (the “Issuer”), a wholly-owned subsidiary of EP Energy Corporation, issued a press release announcing amendments to the previously announced offers by it and its wholly-owned subsidiary, Everest Acquisition Finance Inc. (together with the Issuer, the “Issuers”), to exchange (the “Exchange Offers”) up to $1,200.0 million aggregate principal amount of the Issuers’ new 9.375% Senior Secured Notes due 2024 for the Issuers’ outstanding 9.375% Senior Notes due 2020 (the “2020 Notes”), 7.750% Senior Notes due 2022 (the “2022 Notes”) and 6.375% Senior Notes due 2023 (the “2023 Notes” and, together with the 2020 Notes and the 2022 Notes, the “Old Notes”) and solicitations of consents to proposed amendments with respect to the Old Notes (the “Consent Solicitations”).  The Issuers extended the early tender time for the Exchange Offers and Consent Solicitations to 5:00 p.m., New York City time, on December 19, 2017 (the “Early Tender Time”) and extended the expiration time for the Exchange Offers and Consent Solicitations to 5:00 p.m., New York City time, on December 28, 2017.

 

The Issuers also increased the total consideration payable to holders of 2020 Notes to (i) $50.00 in cash and (ii) $1,000 of New Notes, per $1,000 principal amount of 2020 Notes validly tendered and not withdrawn prior to the Early Tender Time and amended certain terms of the New Notes being offered in the Exchange Offers and Consent Solicitations.  A description of the increased consideration and amended terms of the New Notes are contained in Supplement No. 1, dated December 13, 2017 (the “Offering Memorandum Supplement”), to the Confidential Offering Memorandum and Consent Solicitation Statement, dated November 20, 2017 (the “Offering Memorandum”).  Except as set forth herein and in the Offering Memorandum Supplement, the complete terms and conditions of the Exchange Offers and Consent Solicitations remain as set forth in the Offering Memorandum.
