Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 1, 2017, the Board of Directors of the Company appointed the following persons to be directors of the Company:

 

Chen, Weizhong, age 46, has been a manager and engineer for several Chinese companies. From August, 2008, he has been President of Shanghai Manchi Industrial Co. Ltd.

 

Lu, Gesheng, age 51, has been President of Shanghai Lifeng Forwarding & Logistics Co. Ltd. since 2002. Prior thereto, he was President of Shanghai Chenglu Information Technologies Co. Ltd. He is also a joint partner of Detong Investment & Management (Beijing) Co. Ltd. He has a PhD from Beijing University and a joint degree from Preston University. He also graduated with an EMBA from Jiatong University.

 

Each of the directors will serve until the next annual meeting of stockholders of the Company and until such director’s successor is elected and qualified or until such director’s earlier death, resignation or removal. The following is information concerning the business backgrounds of each of Mr. Song, Mr. Schottelkorb and Fuming Lin.

 

There are presently no plans or commitments with regard to such compensation or remuneration. The Company has no employee benefit plans or other compensation plans.
