Item 7.01 Regulation FD Disclosure.

 

On December 8, 2017, Easterly Acquisition Corp. (the “Company”) and JH Capital Group Holdings, LLC (“JH Capital”) issued a joint press release, a copy of which is being furnished with this Current Report on Form 8-K and is attached to this report as Exhibit 99.1.

 

Attached as Exhibit 99.2 to this Current Report on Form 8-K and incorporated into this Item 7.01 by reference herein is the updated investor presentation dated December 2017 that will be used by the Company in making presentations to certain existing and potential stockholders of the Company with respect to the proposed business combination (the “Business Combination”) with JH Capital, Jacobsen Credit Holdings, LLC (“Jacobsen Holdings”), NJK Holding LLC (“NJK Holding”), Kravetz Capital Funding LLC (“KCF” and, together with Jacobsen Holdings and NJK Holding, the “Founding Members”).

Item 8.01 Other Events.

 

The Company previously announced that it will hold a special meeting of its stockholders on December 14, 2017 at 10:00 a.m., Eastern time, at the offices of the Company at 375 Park Avenue, 21st Floor, New York, New York 10152 (the “Special Meeting”) to vote on (i) a proposal to amend (the “Charter Amendment”) the Company’s amended and restated certificate of incorporation to extend the date by which the Company has to consummate a business combination (the “Extension”) for an additional 106 days, from December 15, 2017 to March 31, 2018 (the “Extended Termination Date”), (ii) a proposal to amend (the “Trust Amendment”) the Company’s Amended and Restated Investment Management Trust Agreement, dated as of October 13, 2015, and as amended by Amendment No. 1 thereto dated as of August 1, 2017, by and between the Company and Continental Stock Transfer & Trust Company to extend the date on which to commence liquidating the trust account (“trust account”) established in connection with the Company’s initial public offering in the event the Company has not consummated a business combination by the Extended Termination Date and (iii) a proposal to adjourn the special meeting to a later date or dates, if necessary, to permit further solicitation and vote of proxies if, based upon the tabulated vote at the time of the special meeting, there are not sufficient votes to approve the Charter Amendment and the Trust Amendment.

 

If the Charter Amendment and Trust Amendment are approved, JH Capital has agreed to contribute to the Company as a loan $0.03 for each public share that is not redeemed in connection with the Special Meeting, for each calendar month or portion thereof that is needed by the Company to complete a business combination from December 15, 2017 until the Extended Termination Date (the “Contributions”). The Contributions will be deposited into the trust account. Accordingly, if the Charter Amendment and the Trust Amendment are approved, the Extension is implemented and the Company takes the entire time through the Extended Termination Date to complete its initial business combination, the Contributions will increase funds available in the trust account for the redemption of public shares from approximately $10.06 per share at December 15, 2017 to approximately $10.17 per share at March 31, 2018. The Contributions will not bear interest and will be repayable by the Company to JH Capital upon consummation of the Company’s initial business combination.

 

On December 8, 2017, the Company issued a press release announcing the Contributions. A copy of the press release is attached to this report as Exhibit 99.3 and is incorporated herein by reference.
