Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
As previously disclosed, on July 31, 2017, Halyard Health, Inc. (the “Company”) entered into a Retention Incentive Agreement with Christopher M. Lowery, the Company’s Chief Operating Officer (“COO”), to secure Mr. Lowery’s services during a CEO transition period that was expected to end on or before December 15, 2017. The CEO transition has been successfully completed and, as of December 1, 2017, Mr. Lowery will no longer have the duties and responsibilities associated with being the Company’s COO. Mr. Lowery will remain employed by the Company until December 31, 2017, as he oversees the transfer of his current duties to others.
