ITEM 8.01. OTHER EVENTS.
On December 6, 2017, Fred’s, Inc. (the “Company”) issued a press release regarding the Company’s quarterly dividend and the amendment of the Company’s previously disclosed 2012 stock repurchase program. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
