Item 7.01 Regulation FD Disclosure.

On December 1, 2017, Entercom Communications Corp. (the “Company”) announced that its wholly owned subsidiary, CBS Radio Inc. (“CBS Radio”), is soliciting consents from holders of CBS Radio’s outstanding 7.250% Senior Notes due 2024 (the “Notes”). The consent solicitation will expire at 5:00 p.m., New York City time, on December 8, 2017, unless extended. A copy of the press release announcing the consent solicitation is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The terms and conditions of the consent solicitation are described in a Consent Solicitation Statement, dated December 1, 2017, which is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference. The consent form sent to holders of the Notes, dated December 1, 2017, is furnished as Exhibit 99.3 to this Current Report on Form 8-K and is incorporated herein by reference.
