Item 1.01 Entry into a Material Definitive Agreement
On November 20, 2017, Black Knight, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Goldman Sachs & Co. LLC, as underwriter (the “Underwriter”), and the selling stockholders named therein (the “Selling Stockholders”), pursuant to which the Selling Stockholders agreed to sell 7,000,000 shares of common stock, par value $0.0001 per share, of the Company to the Underwriter at a purchase price of $45.065 per share (the “Offering”). In addition, pursuant to the Underwriting Agreement, the Company has agreed to purchase from the Underwriter 2,000,000 shares of common stock being sold by the Selling Stockholders to the Underwriter at a price per share equal to the price being paid by the Underwriter to the Selling Stockholders, resulting in an aggregate purchase price of $90,130,000 (the "Share Repurchase"). The Company intends to fund the Share Repurchase with cash on hand and borrowings under the Company's revolving credit facility. The Offering closed on November 24, 2017. The Company did not sell any shares in the Offering and will not receive any proceeds from the Offering.
 
The Offering is being made pursuant to a prospectus supplement, dated November 20, 2017, to the prospectus, dated November 20, 2017, included in the Company’s registration statement on Form S-3 (File No. 333-217774) (the “Registration Statement”), which was initially filed with the Securities and Exchange Commission (the “Commission”) on May 8, 2017 by Black Knight Financial Services, Inc., the predecessor registrant to the Company, and adopted by the Company pursuant to a post-effective amendment to the Registration Statement filed with the Commission on November 20, 2017 in accordance with Rule 414 under the Securities Act of 1933, as amended.
 
The Underwriting Agreement contains customary representations, warranties and covenants and includes the terms and conditions for the sale of the shares by the Selling Stockholders to the Underwriter, indemnification and contribution obligations and other terms and conditions customary in agreements of this type.
 
A copy of the Underwriting Agreement is filed as Exhibit 1.1 hereto. The above description is qualified in its entirety by reference to such exhibit.
