Explanatory Note

On June 9, 2017, MicroVision, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Initial 8-K”) to report the final voting results of the Company’s 2017 Annual Meeting of Stockholders held on June 7, 2017. This Form 8-K/A amends the Initial 8-K to disclose the Company’s decision regarding the frequency of future stockholder advisory votes on compensation of the Company’s named executive officers.

 

Item 5.07. Submission of Matters to a Vote of Security Holders

As previously reported in the Initial 8-K, in a non-binding advisory vote, a majority of the votes cast at the Annual Meeting voted in favor of holding an advisory vote on the Company’s executive compensation each year. The Company has considered the outcome of this advisory vote and determined that it will hold future advisory votes on executive compensation each year.
