Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 17, 2017, shortly after being confirmed by the United States Senate as Assistant Secretary of Defense, Major General (Ret.) Robert H. McMahon, a director of State Bank Financial Corporation (the "Company") and State Bank and Trust Company (the "Bank"), submitted his letter of resignation from the boards of the Company and the Bank effective immediately.

Major General (Ret.) McMahon's decision to resign as a director of the Company and the Bank is due to his appointment as Assistant Secretary of Defense and did not arise or result from any disagreement with the Company on any matters relating to the Company's operations, policies or practices.

The Company is grateful to Major General (Ret.) McMahon's five years of dedicated service to the Company and the Bank. A copy of the press release announcing Major General (Ret.) McMahon's resignation is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
