Item 7.01Regulation FD Disclosure.

 

On November 10, 2017, Sotherly Hotels Inc., a Maryland corporation (the “Company”) and the sole general partner of Sotherly Hotels LP, a Delaware limited partnership (the “Operating Partnership”), experienced a property casualty event at its Whitehall hotel located in Houston, Texas related to an electrical issue, which caused a loss of electrical power and resulted in damage to the property.  The Whitehall hotel was closed following the incident and, after assessing the impact, the Company anticipates that it will reopen for business on or about November 29, 2017.  The Company expects that any damage to The Whitehall hotel and resulting business interruption losses experienced at the hotel will be covered under its insurance policies, but the situation is under ongoing review.
