Item 2.02.Results of Operations and Financial Condition.

 

On November 16, 2017, Haynes International, Inc. (the “Company”) issued a press release announcing results for the fourth quarter and fiscal year ended September 30, 2017. The full text of the press release is furnished as exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

 

Item 7.01.Regulation FD Disclosure

 

On November 15, 2017, the Board of Directors approved a quarterly cash dividend of $0.22 per outstanding share of the Company’s common stock.  The dividend is payable December 15, 2017 to stockholders of record at the close of business on December 1, 2017.  The dividend cash pay-out based on the current shares outstanding is expected to be approximately $2.8 million per quarter, or approximately $11.0 million on an annualized basis.
