Item 8.01. Other Events.

On November 9, 2017, the United States Federal Communications Commission (the “FCC”) released an order, pursuant to the Communications Act of 1934, as amended, and the rules and regulations promulgated thereunder, approving the applications filed by CBS Radio Inc. (“CBS Radio”) and Entercom Communications Corp. (“Entercom”) requesting FCC consent to the transactions contemplated by the Agreement and Plan of Merger, dated as of February 2, 2017 and amended as of July 10, 2017 and September 13, 2017, by and among CBS Corporation (“CBS”), CBS Radio, Entercom and Constitution Merger Sub Corp. (“Merger Sub”), including the merger of Merger Sub with and into CBS Radio (the “FCC Consent”). Obtaining the FCC Consent, and its effectiveness in accordance with applicable law and the rules and regulations of the FCC, is a condition to the obligations of CBS, CBS Radio, Entercom and Merger Sub to the consummation of the merger.
