Item 8.01 Other Events.

On November 8, 2017, Allison Transmission Holdings, Inc. (the “Company”) issued a press release announcing that its Board of Directors has approved a new authorization under the Company’s current stock repurchase program for the repurchase of up to an additional $500 million of the Company’s outstanding common stock, and declared a quarterly dividend of $0.15 per share on the Company’s common stock. The new authorization brings the total amount authorized under the program to $1.5 billion. A copy of the press release is attached as Exhibit 99.1 hereto.
