Item 7.01                   Regulation FD Disclosure.

 

On November 7, 2017 Proofpoint, Inc. (“Proofpoint”) issued a press release announcing it had entered into a definitive agreement to acquire Cloudmark, Inc.  In connection with that press release Proofpoint announced that, contingent upon the closing of such acquisition, for the full year 2018 Proofpoint was increasing its expected total revenue range forecast by $20 to $25 million to $664 million to $673 million and increasing its expected billings range forecast by $20 to $25 million to $818 million to $827 million.  Proofpoint’s policy is not to reiterate or adjust financial guidance unless it is also done through a public disclosure such as a press release or Form 8-K.
