Item 1.01 Entry into a Material Definitive Agreement.

 

On November 2, 2017, Centennial Resource Development, Inc.’s subsidiary, Centennial Resource Production, LLC (“CRP”), entered into that certain Fifth Amendment to Amended and Restated Credit Agreement (the “Fifth Amendment”), which amends the Amended and Restated Credit Agreement, dated as of October 15, 2014, among CRP, each of the lenders and guarantors from time to time party thereto and JPMorgan Chase Bank, N.A. as administrative agent (as amended, the “Credit Agreement”).

 

The Fifth Amendment increases the borrowing base under the Credit Agreement from $350,000,000 to $575,000,000 and increases the aggregate maximum revolving credit amounts from $500,000,000 to $1,000,000,000.
