ITEM 8.01 OTHER EVENTS

On November 2, 2017, Navistar International Corporation (the “Company”), issued a press release announcing the Company’s proposed private offering of approximately $1.1 billion principal amount of senior notes due 2025 pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
