Item 8.01 Other Events

 

On November 1, 2017, Carolina Financial Corporation (the “Company”) completed the mergers contemplated by the Agreement and Plan of Merger and Reorganization (the “Merger Agreement”) dated as of June 9, 2017, by and between the Company and First South Bancorp, Inc. (“First South”). Pursuant to the Merger Agreement, on November 1, 2017, First South merged with and into the Company, with the Company as the surviving corporation. Immediately thereafter, First South Bank, a wholly owned subsidiary of First South, merged with and into CresCom Bank, a wholly owned subsidiary of the Company, with CresCom Bank as the surviving bank. CresCom Bank will operate the former offices of First South Bank under the name “First South Bank” until the data processing system conversion, which is currently expected to occur in March 2018.
