Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 26, 2017, Bruce Karsh, Chairman of the Board of Directors (the “Board”) of Tribune Media Company (the “Company”), notified the Company of his decision to resign from his positions as Chairman of the Board and member of the Board, effective immediately. Prior to his resignation, Mr. Karsh also served on the Compensation Committee and the Nominating and Corporate Governance Committee of the Board.

 

Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year

On October 26, 2017, following the resignation of Mr. Karsh, the Board amended Article III, Section 3.03 of the Company’s Amended and Restated Bylaws (the “Bylaws”) to decrease the minimum number of directors on the Board from seven to five. The foregoing description of the amendment to the Bylaws does not purport to be complete and is qualified in its entirety by reference to the full text of the Company’s Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.2 to this Current Report on Form 8-K and is incorporated herein by reference.
