Explanatory Note
As previously disclosed in its Current Report on Form 8-K, filed with the U.S. Securities and Exchange Commission on February 7, 2017 (the “Original Form 8-K”), Grand Havana Inc., f/k/a JunkieDog.com Inc. (“GHAV” or the “Company”), entered into a an Agreement For The Exchange of Stock (the “Exchange”) with Grand Havana Master, LLC ( “GHM”) pursuant to which 50,000,000 shares of the Company’s common stock were issued to the members of GHM in exchange for 100% of the Capital Shares of GHM.
This Amendment to Form 8-K amends and supplements the Original Form 8-K to include certain financial statements of GHM required by Item 9.01 of Form 8-K. This Amended Form 8-K/A should be read in connection with the previously filed Original Form 8-K described above.
