Item 2.02.Results of Operations and Financial Condition

 

On October 19, 2017, Carolina Financial Corporation (the “Company”) issued a news release announcing its results of operations for the three and nine month periods ended September 30, 2017. A copy of the news release is attached hereto as Exhibit 99.1. The information included herein, as well as in Exhibit 99.1 referenced herein, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in filings under the Securities Act of 1933, as amended (the “Securities Act”).

 

Item 7.01.Regulation FD Disclosure.

 

The Company will hold an investor conference call to disclose its financial results for the three and nine month periods ended September 30, 2017 on October 20, 2017 at 11:00 a.m. Eastern Time. On October 18, 2017, the Board of Directors of the Company declared a quarterly cash dividend of $0.05 per share, payable on January 5, 2018, to stockholders of record as of December 14, 2017.
