On October 16, 2017, Catalent, Inc. issued a press release announcing that its wholly owned subsidiary, Catalent Pharma Solutions, Inc. (the Operating Subsidiary), has priced a private offering of $450.0 million aggregate principal amount of 4.875% senior unsecured notes due 2026 (the Notes) at par.
The sale of the Notes is expected to be consummated on October 18, 2017, subject to customary closing conditions. The anticipated amendment to the Operating Subsidiarys credit agreement governing its senior secured credit facilities to reduce the applicable margins and extend the maturities by three years of each of the term loans and revolving credit facility is also expected to be consummated on or about the same date, subject to customary closing conditions, although there can be no assurance that the Operating Subsidiary will consummate the amendment on favorable terms or at all.
