Item 8.01. Other Events.

On September 25, 2017, United Rentals, Inc. (“URI”) and Neff Corporation (“Neff”) announced that the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to URI’s proposed acquisition of Neff. The acquisition remains subject to other customary closing conditions. The joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
