Item 8.01 Other Events.

On September 25, 2017, The Blackstone Group L.P. issued a press release announcing that Blackstone Holdings Finance Co. L.L.C., an indirect subsidiary of The Blackstone Group L.P., priced an offering of $300,000,000 aggregate principal amount of 3.150% Senior Notes due 2027 and $300,000,000 aggregate principal amount of 4.000% Senior Notes due 2047. The notes are to be fully and unconditionally guaranteed by The Blackstone Group L.P., Blackstone Holdings I L.P., Blackstone Holdings AI L.P., Blackstone Holdings II L.P., Blackstone Holdings III L.P. and Blackstone Holdings IV L.P. Blackstone intends to use the net proceeds from the sale of the notes, together with cash on hand or available liquidity, to repurchase all of its outstanding 6.625% Senior Notes due 2019 (the “2019 Notes”) pursuant to a tender offer and to redeem any of the 2019 Notes that remain outstanding thereafter.

The notes were offered pursuant to Rule 144A and Regulation S under the Securities Act of 1933. The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
