Item 8.01 Other Events.

On September 21, 2017, Allison Transmission Holdings, Inc. (the “Company”) announced that its wholly owned subsidiary, Allison Transmission, Inc. (the “Issuer”), priced its offering of $400 million in aggregate principal amount of 4.750% Senior Notes due 2027 (the “Notes”) in a private placement (the “Offering”) exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). This represents a $100 million increase in the size of the Offering from the previously announced offering amount. The Issuer intends to use the net proceeds from the Offering for general corporate purposes and to pay related transaction fees and expenses. The consummation of the Offering is expected to occur on or about September 26, 2017, subject to customary conditions.
