Item 7.01 Regulation FD Disclosure.
On September 18, 2017, Toys “R” Us, Inc. (the “Company”) and certain of its subsidiaries (collectively, the “Debtors”) filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Bankruptcy Code with the United States Bankruptcy Court for the Eastern District of Virginia, Richmond Division (the “Bankruptcy Filing”). During the pendency of the Bankruptcy Filing, the Debtors will operate their businesses as “debtors-in-possession” under the jurisdiction of the bankruptcy court and in accordance with the applicable provisions of the bankruptcy code and intend to conduct business operations in the normal course.
The Company will make a presentation to its lender group on September 20, 2017. A copy of certain information relating to the Company’s borrowing base that will be disclosed to such lenders in connection with such lender meeting is attached as Exhibit 99.1 to this Current Report and is incorporated by reference herein.
