Item 7.01 Regulation FD Disclosure.

On September 18, 2017, Toys “R” Us, Inc. (the “Company”) and certain of its subsidiaries (collectively, the “Debtors”) filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Bankruptcy Code with the United States Bankruptcy Court for the Eastern District of Virginia, Richmond Division (the “Bankruptcy Filing”). During the pendency of the Bankruptcy Filing, the Debtors will operate their businesses as “debtors-in-possession” under the jurisdiction of the bankruptcy court and in accordance with the applicable provisions of the bankruptcy code and intend to conduct business operations in the normal course.

In connection with the Bankruptcy Filing, the Company filed (i) certain cleansing materials previously shared with third parties regarding the business of the Company as Exhibit A to its Declaration of Michael J. Short, Chief Financial Officer of Toys “R” Us, Inc., in Support of First Day Motions, (ii) a debtor-in-possession budget as Schedule 1 to Exhibit A to the Debtors’ Motion For Entry of Interim and Final Orders (I) Authorizing the North American Debtors to Obtain Postpetition Financing, (II) Authorizing the North American Debtors to Use Cash Collateral, (III) Granting Liens and Providing Superpriority Administrative Expense Status, (IV) Granting Adequate Protection to the Prepetition Lenders, (V) Modifying the Automatic Stay, (VI) Scheduling A Final Hearing, and (VII) Granting Related Relief and (iii) a debtor-in-possession budget as Schedule 1 to Exhibit A to the Debtors’ Motion for Entry of Interim and Final Orders (I) Authorizing the TRU Taj Debtors to Obtain Postpetition Financing, (II) Authorizing the TRU Taj Debtors to Use Cash Collateral, (III) Granting Liens and Providing Superpriority Administrative Expense Status, (IV) Granting Adequate Protection to the Prepetition Lenders, (V) Modifying the Automatic Stay, (VI) Scheduling a Final Hearing, and (VII) Granting Related Relief, as required under several non-disclosure agreements executed by the Company and certain creditors.
