ITEM 5.02.  Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.

        (b) On September 15, 2017, Robert R. Anderson notified Aehr Test
Systems (the "Company") of his intention not to stand for re-election to the
Board of Directors when his term expires at the Company's 2017 annual meeting
of shareholders. Mr. Anderson is expected to remain a member of the Board of
Directors until the Company's 2017 annual meeting of stockholders.
