Explanatory Note

This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K of DexCom, Inc. (“DexCom”) filed on May 31, 2017 (the “Original Form 8-K”). The Original Form 8-K reported the final voting results of DexCom’s 2017 Annual Meeting of Stockholders held on May 31, 2017 (the “2017 Annual Meeting”). The purpose of this Amendment is to disclose DexCom’s decision regarding how frequently it will conduct future stockholder advisory votes to approve the compensation of DexCom’s named executive officers (“Say-on-Pay”). No other changes have been made to the Original Form 8-K.

 

Item 5.07. Submission of Matters to a Vote of Security Holders.

As previously reported in the Original Form 8-K, in a non-binding advisory vote on the frequency of future Say-on-Pay votes held at the 2017 Annual Meeting, over a majority of stockholders that voted on the matter indicated a preference to hold future advisory votes on executive officer compensation every year. DexCom’s Board of Directors supported the advisory resolution, and will include a non-binding advisory shareholder vote on its executive compensation every year until the next vote on the frequency of shareholder votes on the compensation of executives.
