Item 8.01. Other Events.

On September 4, 2017, Rockwell Collins, Inc. (“Rockwell Collins”) and United Technologies Corporation (“United Technologies”) issued a joint press release announcing the entry into a merger agreement providing for the acquisition of Rockwell Collins by United Technologies on the terms and conditions contained therein. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
