INFORMATION TO BE INCLUDED IN THE REPORT

 

Item 3.02.Unregistered Sales of Equity Securities.

 

On August 29, 2017, the Board of Directors of Janel Corporation (the “Company”) approved the following equity grants to a consultant to the Company:

 

1.Grant of 35,000 shares of the Company’s Common Stock, par value $0.001 per share (the “Common Stock”), as a Restricted Stock Award pursuant to the Company’s 2017 Equity Incentive Plan (the “2017 Plan”), vesting one-third on each of the first, second and third anniversaries of the grant date.

 

2.Options to purchase 45,000 shares of Common Stock, at an exercise price of $8.04 per share, 15,000 shares of which vest and become exercisable on each of the first, second and third anniversaries of the grant date.

 

Prior to the August 29, 2017 grants, the Company made the following equity grants:

 

1.Options granted on May 12, 2017 to Gerard van Kesteren, a Director of the Company pursuant to the 2017 Plan to purchase 6,524 shares of Common Stock, at an exercise price of $8.01 per share, vesting and becoming exercisable in three tranches on each of October 1, 2017, 2018 and 2019.

 

2.Grant on May 12, 2017 to Gerard van Kesteren, a Director of the Company, of 15,000 shares of Common Stock, as a Restricted Stock Award pursuant to the 2017 Plan, vesting one-third on each of the first, second and third anniversaries of the grant date.

 

3.As disclosed in the Company’s Quarterly Report on Form 10-Q for the fiscal quarter ended December 31, 2016, options granted on October 1, 2016 to a consultant to the Company to purchase 6,053 shares of Common Stock, at an exercise price of $4.13 per share, vesting and becoming exercisable in three tranches on each of the first, second and third anniversaries of the grant date.

 

The above grants were made to accredited investors in a private placement in reliance upon the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933.

On September 5, 2017, the Company announced the resignation of Carlos Pla as Chief Financial Officer effective August 31, 2017.
