Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 1, 2017, Mr. Paul N. Clark resigned from the Biolase, Inc. (the "Company") Board of Directors, effective September 11, 2017, and as Chairman of the Board, effective September 1, 2017, due to other time commitments. In connection with Mr. Clark's resignation, on September 1, 2017, Dr. Jonathan T. Lord, a director of the Company and member of the Company's Compensation and Nominating and Corporate Governance Committees, was appointed Chairman of the Board.
