Item 4.01. Changes in Registrant’s Certifying Accountant.

(a) On August 29, 2017, Strategic Storage Growth Trust, Inc. (the “Registrant”) notified CohnReznick LLP (“CohnReznick”) of its dismissal as the Registrant’s independent registered public accounting firm, effective immediately. The dismissal of CohnReznick was approved by the Audit Committee of the Board of Directors of the Registrant (the “Audit Committee”).

CohnReznick’s audit report on the financial statements of the Registrant for each of the fiscal years ended December 31, 2016 and 2015 did not contain an adverse opinion or disclaimer of opinion, nor was it qualified or modified as to uncertainty, audit scope, or accounting principles.

During the fiscal years ended December 31, 2016 and 2015, and the subsequent interim period through August 29, 2017, there were no (a) disagreements (as that term is used in Item 304(a)(1)(iv) of Regulation S-K under the Exchange Act and the related instructions to that Item) with CohnReznick on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of CohnReznick, would have caused CohnReznick to make reference to the subject matter of the disagreement in its report on the Registrant’s financial statements for such period, or (b) “reportable events” as that term is defined in Item 304(a)(1)(v) of Regulation S-K under the Exchange Act.

A copy of this disclosure has been provided to CohnReznick for its review prior to its filing with the Commission and the Registrant has asked that CohnReznick furnish the Registrant with a letter addressed to the Securities and Exchange Commission stating whether CohnReznick agrees with the statements contained herein and, if not, stating the respects in which it does not agree. A copy of that letter, dated August 31, 2017, is filed as Exhibit 16.1 to this Current Report on Form 8-K.

(b) On August 29, 2017, the Audit Committee engaged BDO USA, LLP (“BDO”) as its independent registered public accounting firm for the fiscal year ending December 31, 2017, effective immediately.

During the fiscal years ended December 31, 2016 and 2015, and the subsequent interim period through August 29, 2017, neither the Registrant nor anyone on its behalf consulted with BDO regarding: (i) the application of accounting principles to a specified transaction, either completed or proposed, (ii) the type of audit opinion that might be rendered on the Registrant’s financial statements, and neither a written report nor oral advice was provided to the Registrant that BDO concluded was an important factor considered by the Registrant in reaching a decision as to an accounting, auditing or financial reporting issue, or (iii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K under the Exchange Act and the related instructions to that Item) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K under the Exchange Act) (there being none).
