Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 28, 2017, the Executive Compensation Committee (“Committee”) of the Board of Directors of Deltic Timber Corporation acted to effect a change-in-control agreement with Byrom L. Walker, who, effective February 24, 2017, was elected as interim Vice President, Finance and Administration, Treasurer and Chief Financial Officer. The form in change-of-control agreement made by the Committee is identical to those entered with other executive officers who are CEO direct reports. A copy of this form of agreement is attached hereto as Exhibit 99.1 and is incorporated in its entirety by reference.
