Item 3.02 Unregistered Sales of Equity Securities.
On August 28, 2017, MicroVision, Inc. (the "Company") sold 1,500,000 shares of the Company's common stock at a price of $2.10 per share to a private investor, for aggregate consideration of $3,150,000.
