Item 8.01 Other Events.

On August 16, 2017, Financial Engines, Inc. (the “Company”, “Financial Engines”, “we,” “us,” or “our””) issued a press release announcing that funds affiliated with Warburg Pincus LLC (“Warburg Pincus”) have agreed to sell an aggregate of 4,109,128 shares of Financial Engines’ common stock in a registered underwritten public offering (the “Offering”). We are filing a copy of the press release as Exhibit 99.1 hereto, which is incorporated by reference into this Item 8.01.
