Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective August 1, 2017, Alaska Communications Systems Group, Inc., a Delaware corporation (the "Company"), appointed Shawn O’Donnell to serve as an independent director on the Company’s Board of Directors (the "Board"). On August 1, 2017, the Company increased the size of its Board from six directors to seven directors and appointed Mr. O’Donnell to fill the newly created vacant position on the Board.
Mr. O’Donnell will serve as a member of the Board’s Compensation and Personnel Committee.
Mr. O’Donnell will receive compensation from the Company for service on the Board on the same terms as other non-employee members of the Board.
The Company issued a press release on August 1, 2017 announcing the appointment of Mr. O’Donnell that provided relevant biographical information about Mr. O’Donnell. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
