Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 27, 2017, Michael Skutezky resigned as Independent Chairman of Western Uranium Corporation (“Western”) for personal reasons, effective immediately. Mr. Skutezky also relinquished his roles as a Director, a member of the audit committee and a director of Western subsidiaries and affiliates. Consequently, Russell Fryer, Director, has been named Executive Chairman, in addition to his current Director role.

A copy of the press release announcing these changes has been filed as Exhibit 99.1 to this report.
