Item 8.01. Other Events. 

 

On July 27, 2017, Hennessy Capital Acquisition Corp. III (the “Company”) announced that the holders of the Company’s units (the “Units”) may elect to separately trade the common stock and warrants included in the Units commencing on August 1, 2017. Each Unit consists of one share of common stock, $0.0001 par value per share, and three-quarters of one warrant, and each whole warrant is exercisable to purchase one share of common stock at a price of $11.50 per whole share. No fractional warrants will be issued upon separation of the Units and only whole warrants will trade. Those Units not separated will continue to trade on the NYSE American (formerly known as the NYSE MKT) under the symbol “HCAC.U” and the common stock and warrants are expected to trade under the symbols “HCAC” and “HCAC WS”, respectively. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into shares of common stock and warrants.
