SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

Item 1.01 Entry into a Material Definitive Agreement.

On July 17, 2017, we executed a Broker/ Company Agreement (the “Agreement”) with Sunshine Specialties (“Sunshine”). Under the Agreement, Sunshine will serve as the exclusive sales representative of our products in the Southern California area in exchange for a five percent (5%) sales commission, with a minimum commission of $1,500 per month. The initial term of the Agreement is one (1) year, subject to annual renewal. The Agreement, which is filed herewith as Exhibit 10.1, contains various additional terms and provisions which should be reviewed in their entirety.
