Item 8.01Other Events

 

As previously announced, on October 8, 2016, Gas Natural Inc. (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among the Company, FR Bison Holdings, Inc., a Delaware corporation (“Parent”), and FR Bison Merger Sub, Inc., an Ohio corporation (“Merger Sub”), pursuant to which Merger Sub will merge with and into the Company (the “Merger”), on the terms and subject to the conditions set forth in the Merger Agreement.

 

The Merger is subject to, among other customary closing conditions, the approvals of the Maine Public Utilities Commission, Montana Public Service Commission (“MPSC”), North Carolina Utilities Commission (“NCUC”), and the Public Utilities Commission of Ohio. Effective as of June 29, 2017, Parent notified the Company that it exercised its right to elect to extend the End Date (as defined in the Merger Agreement) of the Merger Agreement to January 7, 2018 (the latest date allowed under the Merger Agreement), as the MPSC’s written order approving the Merger and NCUC’s approval are pending. The Company and Parent continue to expect to complete the Merger in the third quarter of 2017, subject to the satisfaction of the remaining Regulatory Approvals.
