Item 8.01 Other Events

On July 5, 2017, Daiichi Sankyo Company, Limited (“Daiichi Sankyo”) announced its decision, which was accepted by Coherus BioSciences, Inc. (the “Company”), to discontinue development of the Company’s etanercept (Enbrel) biosimilar product candidate, CHS-0214, in Japan and to conclude the parties’ global open-label safety extension study in rheumatoid arthritis. Pursuant to the January 23, 2012 License Agreement (the “Agreement”) between the Company and Daiichi Sankyo, the Company regained the rights to develop and commercialize CHS-0214 in Japan.

Given projected biosimilar pricing, the potential economic profit from commercializing CHS-0214 in Japan was significantly constrained as selling prices for an Enbrel biosimilar would be significantly lower than those anticipated at the inception of the Agreement, and a manufacturing process which would enable the supply of CHS-0214 at a commercially viable cost could not be established.
