Item 7.01 Regulation FD Disclosure

On June 28, 2017, Fifth Third Bancorp (“Fifth Third”) issued a press release announcing that the Board of Governors of the Federal Reserve System did not object to its capital plan submitted under the Comprehensive Capital Analysis & Review (“CCAR”) process. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
