Item 8.01. Other Events

Corporate Capital Trust, Inc. (the “Company”) announced today that it has priced an offering of $140 million in aggregate principal amount of 5.00% senior unsecured notes due 2022 (the “Notes”). The closing of the offering of Notes is expected to occur on or around June 28, 2017.

The Notes are being offered only to qualified institutional buyers in reliance on Section 4(a)(2) of Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes have not been registered under the Securities Act or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
