*FSP Galleria North Corp. Liquidating Trust is the transferee of the assets and liabilities of FSP Galleria North Corp., and files reports under the Commission file number for FSP Galleria North Corp. FSP Galleria North Corp. filed a Form 15 on July 3, 2014, indicating its notice of termination of registration and filing requirements.
Item 7.01. Regulation FD Disclosure.
On or about June 21, 2017, FSP Galleria North Corp. Liquidating Trust (the “Liquidating Trust”) will be mailing a letter to the beneficiaries (the “Beneficiaries”) of the Liquidating Trust regarding the amount and timing of its final liquidating distribution to the Beneficiaries. The full text of the letter is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information in this Form 8-K (including Exhibit 99.1) shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such a filing.
