Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On June 9, 2017, Michael S. Burke resigned from the Board of Directors of Rentech, Inc. (the “Company”), including as a member of the Audit Committee and the Compensation Committee.  Mr. Burke has been a director of the Company since March 2007.  Mr. Burke resigned due to his other extensive business and personal commitments, and he does not have a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
